Marketplace Terms of Service

These Terms of Service ("Marketplace Terms") govern your access to and use of the Sintra Marketplace for AI agents (the "Marketplace"), including any related websites, applications, APIs, and services provided by playOS, Inc. (d/b/a Sintra), with registered address 8 the Green, Ste A, Dover, Kent, DE 19901, USA ("Sintra," "we," "us," or "our").
BY ACCESSING OR USING THE MARKETPLACE, YOU ACCEPT AND AGREE TO THESE MARKETPLACE TERMS AS WELL AS SINTRA'S GENERAL TERMS OF SERVICE AVAILABLE AT HTTPS://SINTRA.AI/LEGAL/TERMS-AND-CONDITIONS AND SINTRA'S PRIVACY POLICY AVAILABLE AT HTTPS://SINTRA.AI/LEGAL/PRIVACY-POLICY. SINTRA'S GENERAL TERMS OF SERVICE AND PRIVACY POLICY ARE HEREBY INCORPORATED INTO THESE MARKETPLACE TERMS BY REFERENCE.
THE SERVICES, INCLUDING WITHOUT LIMITATION ALL AI ASSISTANTS, AGENTIC AUTOMATIONS, WORKFLOWS, OUTPUTS, MODEL CONFIGURATIONS, SYSTEM PROMPTS, INTEGRATIONS, APIs, AND THIRD-PARTY AI COMPONENTS, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
1. Definitions
"Marketplace AI Agent" means any artificial intelligence-enabled software application, agent, assistant, workflow, automation, model-powered system, or other offering made available by Sintra through the Marketplace based on Developer Content, which uses machine learning models, large language models, generative artificial intelligence systems, algorithmic decision-making systems, or similar computational intelligence techniques to generate, interpret, recommend, predict, process, or act upon content, data, prompts, instructions, or inputs, and/or to interact with end users, software applications, APIs, tools, databases, external systems, or third-party services, including through automated, semi-automated, or autonomous actions.
"Developer Content" means instructions, prompts, configurations, workflows, tools, integrations, code, datasets, or other materials created or provided by third-party developers ("Developers") and used to enable or operate Marketplace AI Agents.
"AI Output" means any content, recommendation, response, analysis, or other output generated by a Marketplace AI Agent based on your input.
2. Marketplace Overview; Third-Party Developer Content
2.1. About the Marketplace. The Marketplace provides a platform where you may discover, access, and use Marketplace AI Agents which are executed using Developer Content provided by third-party developers.
2.2. Third-Party Developer Content. You acknowledge and agree that Marketplace AI Agents are executed using Developer Content; the behavior, performance, and outputs of an Agent may in limited circumstances depend on Developer Content; and Sintra does not control, endorse, or guarantee the completeness, accuracy, safety, legality, or suitability of Developer Content or any Marketplace AI Agent.
2.3. No Responsibility for Developer Content. To the maximum extent permitted by law, Sintra is not responsible for Developer Content, including any errors, omissions, or issues arising from Developer Content or an Agent's reliance on it.
3. License to Use Marketplace Agents
3.1. License Grant. Subject to your compliance with these Marketplace Terms and the Sintra General Terms of Service, Sintra grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Marketplace AI Agents made available through the Marketplace solely for your personal use or internal or authorized business purposes (if applicable), and only as enabled by the Marketplace.
3.2. Scope and Limitations. Your license: (a) is limited to using Marketplace AI Agents as provided through the Marketplace and does not include any ownership rights in the Marketplace AI Agents, Developer Content, or underlying models or systems; (b) does not grant you rights to copy, extract, scrape, reproduce, distribute, sell, lease, or otherwise exploit any Marketplace AI Agent, Developer Content, or Marketplace materials except as expressly permitted by Sintra in writing; and (c) may be subject to additional terms presented at the time you access a specific Agent, which will apply in addition to these Terms.
3.3. Reservation of Rights. Sintra and Developers (as applicable) reserve all rights not expressly granted to you.
4. Payments; Refunds
4.1. Usage-Based Model. Marketplace AI Agents are available to install at no upfront cost. When you use a Marketplace AI Agent, it consumes credits from your Sintra plan. Credit consumption is governed by the terms of your Sintra subscription and the Sintra General Terms of Service.
4.2. Refunds and Credits. Your payments, subscription terms and refunds are subject to all relevant provisions of Section 10 of the Sintra General Terms of Service and Sintra's Refund Policy at https://sintra.ai/legal/refund-policy.
4.3. Effect of Removal/Disablement. If Sintra removes or disables a Marketplace AI Agent, your access may end immediately or be limited. Any refunds, credits, or proration (if any) will be handled solely in accordance with Section 10 of the Sintra General Terms of Service and applicable law.
5. Sintra's Right to Remove, Disable, or Modify Agents
5.1. Removal or Disabling. Sintra may, at any time and in its discretion, remove, disable, suspend, restrict, or modify any Marketplace AI Agent or your access to any Marketplace AI Agent, including where Sintra believes a Marketplace AI Agent violates these Terms, Sintra's General Terms of Service, Sintra's Fair Use Policy at https://sintra.ai/legal/fair-use-policy, or applicable law, poses security, safety, privacy, or operational risks, infringes intellectual property or other rights of third parties, or is misleading, harmful, or otherwise inappropriate.
5.2. No Guarantee of Availability. Sintra does not guarantee that any Marketplace AI Agent will be available at any time or for any duration, or that any Marketplace AI Agent will maintain any particular features, performance, or compatibility.
6. AI Outputs; Accuracy Disclosures
6.1. AI Outputs May Be Inaccurate. You acknowledge and agree that AI Outputs generated using Marketplace AI Agents: (a) may be incorrect, incomplete, misleading, or outdated; (b) may not reflect real-world facts; (c) may produce different results for similar inputs; and (d) may not be appropriate for your intended use.
6.2. No Professional Advice. AI Outputs are provided for informational and general purposes only and are not a substitute for professional advice (including legal, medical, financial, or other regulated advice). You are solely responsible for determining whether and how to use AI Outputs generated using Marketplace AI Agents.
6.3. Your Responsibility to Verify. You are responsible for reviewing, validating, and testing AI Outputs before relying on them, including implementing appropriate human review and safeguards for high-risk uses.
7. User Responsibility for Use of Outputs
7.1. You Control Inputs and Decisions. You are solely responsible for: (a) the prompts, data, files, and other inputs you provide to Marketplace AI Agents; (b) how you interpret and use AI Outputs generated using Marketplace AI Agents; and (c) any actions you take or do not take based on AI Outputs.
7.2. Compliance with Law. You agree not to use the Marketplace, Marketplace AI Agents, or AI Outputs in a manner that violates applicable laws or regulations, infringes or misappropriates intellectual property, privacy, publicity, or other rights, is deceptive, fraudulent, or harmful, or is used to develop, promote, or facilitate unlawful or harmful activity.
7.3. High-Risk Uses. You agree not to use AI Outputs as the sole basis for decisions that could result in significant harm to individuals or property (including decisions relating to health, safety, employment, housing, credit, insurance, or legal rights) without appropriate independent verification and safeguards.
8. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE MARKETPLACE, MARKETPLACE AI AGENTS, DEVELOPER CONTENT, AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
SINTRA DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. SINTRA DOES NOT WARRANT THAT THE MARKETPLACE OR ANY MARKETPLACE AI AGENT WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR ACCURATE.
9. Governing Law; Dispute Resolution
9.1. Governing Law. These Marketplace Terms will be governed by and construed in accordance with the applicable laws of the State of Delaware, USA, without giving effect to the principles of that State relating to conflicts of laws.
9.2. Jurisdiction. Each party irrevocably agrees that any legal action, suit or proceeding arising out of or related to these Marketplace Terms must be brought solely and exclusively in the state or federal courts located in Dover, Delaware, USA.
10. Changes to These Terms
Sintra may update these Terms from time to time. If we make material changes, we may provide notice by updating the "Last Updated" date or by other reasonable means. Your continued use of the Marketplace after changes become effective constitutes acceptance of the updated Terms.
11. Applicability of Sintra's General Terms
For the avoidance of doubt, all terms and conditions as set forth in Sintra's General Terms of Service (available at https://sintra.ai/legal/terms-and-conditions) are hereby incorporated into these Marketplace Terms by reference and form a part of these Marketplace Terms. You agree to be bound by all provisions thereby with respect to your use of the Marketplace and Marketplace AI Agents.
